Terms of Use

 

Acceptance of Terms:

The following Terms were created to protect the users members of AmericaUKnight.  This Agreement governs our relationship with our members and others who interact with AmericaUKnight.  Your use of AmericaUKnight’s web service constitutes your binding acceptance of these terms and conditions, including all modifications.  If at any time the terms and conditions of this agreement are no longer acceptable to you, immediately cease the use of AmericaUKnight’s services.

 

Modifications of Terms:

AmericaUKnight reserves the right to change or modify all or any part of this agreement, effective immediately upon posting.  You must review the Terms of Use on a regular basis.

 

Account Security and Safety:

1. You must be 13 years or older to become a registered member and/or user of AmericUKnight services.
2. You may not use AmericaUKnight if you’re a convicted sex offender.  If you do so you will be reported to the authorities.  If you’re unsure if you’re a registered offender click here.
3. Your account is for your sole, personal use, and you may not assign others to use your account, and you may not assign or otherwise transfer your account to any other person or entity.
4. All registration information about you must be truthful, and you may not use any aliases or other means to mask your true identity. 
5. You are responsible for the security of your password and will be solely liable for any use or unauthorized use under such password.

 

Privacy and Protecting our Members/Users:

1. AmericaUKnight will not sell, disclose, or share your information.  We may provide information to service providers to help us bring you the services we offer.  Specifically, we may be share information with our host service.  Our current host/service provider is Yourmembership.
2. AmericaUKnight will only relinquish your information if subpoenaed.
3. AmericaUKnight will not run pop up ads, banners, pop unders or any other type of pop up ad.
4. There will be no snooping, web bugs, or tracking devices.
5. Anyone violating someone else’s privacy will immediately be suspended from the use of AmericaUKnight’s services.
6. Because this is a internet service via the world wide web, for content that is covered by intellectual property rights, like photos and videos, you specifically give AmericaUKnight the following permission: you grant us a non-exclusive, transferable, sub-licensable, royalty-free worldwide licenses to use any IP content that you post on or in connection with us ("IP License).  This IP License ends when you delete IP content, unless your content has been shared with others, and they have not deleted it.
7. You determine what information you share and should not enter, upload, or provide any content you don’t want the AmericaUKnight community to have.  
8. When you delete IP content, it is deleted in a manner similar to emptying the recycle bin on a computer.  However, you understand that removed content may persist in backup copies for a reasonable period of time (but will not be available to others).
9. When you add an application and use a platform, your content, and information is shared with the application.  Your agreement with that application will control how the application can use the content and information you share.
10. AmericaUKnight may contain links to other websites.  We are not responsible for the privacy practices of other web sites.  We encourage our users to read the privacy policy for each and every website visited via link(s).
11. Your account information is located on a secured server behind a firewall.  When you enter sensitive information, such as credit card number or your password, we encrypt this information using secure socket layer technology (SSL).  Because email and instant messaging are not recognized as secure communications, we ask that you do not send private information to us by email or instant messaging services.  Please do so through our Contact Us Link.   
12. We may occasionally use your name and email address to send you notifications regarding new services offered.  However, generally this will be posted under AmericaUKnight News on the homepage.
13.  We reserve the right to change our Privacy Policy at any time effective immediately upon posting.

 

Profiles:

AmericaUKnight’s intentions are not to replace your previous social networks.  We are not a social network but rather a virtual community.  Please choose the content you upload and your profile according to your comfort level.  You are aware that you are responsible for the profile you choose and the content you post.

 

Content Posted and Removed:

1. You assume all responsibility you post.  Specifically, you understand that all postings, messages, text, files, images, photos, videos, sounds, or other material posted on, transmitted through, or linked through, or linked from AmericaUKnight, are the sole responsibility of the person from whom such content originated.  More specifically, you are entirely responsible for each item you post or upload.
2. We do not and cannot review all content posted by users and you will not hold us liable for any content posted.
3. We reserve the right to delete, move, or edit any content that violates or may violate our terms of use or is otherwise unacceptable. 
4. We have the right but not the obligation to correct any errors or omissions in any content.
5. You understand that we do not control and are not responsible for content made available via our service, and that by using our service you may be exposed to content that is offensive, indecent, inaccurate, misleading, or objectionable. 
6. Any content placed on AmericaUKnight by users are the views of the user posting the statement or content.
7. We do not represent or endorse the accuracy or reliability of any content posted on any interactive areas and you acknowledge that any reliance upon such content is at your discretion.
8. If you utilize the wall feature you acknowledge that others may supplement your profile by posting to your wall and we are not responsible or liable for their post.
9. Where you make use of the communication features of this service to share information you are aware that these communications generally cannot be removed.
10. You are aware that any members who are not registered as a private virtual member are searchable by keyword searches.
11. You are aware that when you become a new member your name will be posted to the New Member scrolling marquee and will be rotated out in 30 member increments.  You are also aware that registered members only view this.  Thank you for supporting our efforts to UKnight America.

 

Prohibited:

1. Political Campaigning is strictly prohibited.
   
2. You agree that you will not post or send any commercial communications, such as Spam.
3. You agree that you will not collect users’ content or information, or access this site using automated means.
4. You agree that you will not upload viruses, computer code, files or programs designed to interrupt, destroy, or limit the functionality of any computer hardware or telecommunications equipment.
5. You agree that you will not use automated means, including spiders, robots, crawlers, data mining tools, or the like to download data from AmericaUKnight.
6. You agree that you will not solicit login information or access an account belonging to someone else.
7. You agree that you will not aggregate contact information to send unsolicited recruitment, fund-raising, or direct selling messages.
8. You agree that you will not post anything that contains "affiliate marketing,” "link referral code,” "junk mail,” "chain mail,” "pyramid schemes,” or unsolicited advertisement.
9. You agree that you will not post anything that is, unlawful, drug related, harmful, threatening, abusive, harassing, depicts graphic or gratuitous violence, defamatory, libelous, invasive of someone else’s privacy, harmful to minors in anyway, pornographic, false, deceptive, misleading, or an attempt to "Bait and Switch."
10. You agree that you will not "stalk” anyone.
11. You agree that you will not post anything that harasses, degrades, intimidates, or is hateful toward an individual or group on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability.
12. You agree that you will not impersonate any person or entity, including, but not limited to, an AmericaUKnight employee, or falsely states or otherwise misrepresents your affiliation with a person or entity.
13. You agree that you will not post anything that includes personal identifying information about another person without that person’s explicit consent.
14. You agree that you will not post anything that infringes any patent, trademark, trade secret, copyright or other property rights of any party, or content that you do not have the right to make available under any law or under contractual or fiduciary relationships.
15. You agree that you will not post anything that disrupts the normal flow of dialogue with an excessive amount of content (flooding attack) or otherwise negatively affects other users’ ability to use the service.
16. You agree that you will not use any form of automated devices or computer program that enables the submission of postings without each being manually entered by the author.
17. You agree that you will not facilitate or encourage any violations of our terms of use.

 

Professional Profile Guidelines:

1. You can not be a small business owner.  If you own a small business you must register as a small business.
2. You may enter a max of 2 Cities in (Service Area).  Recommend List "Main City" and Surrounding Areas.  Then list one other city. 
   
3. You can not create another profile to add additional cities.
   
4. You may maintain a Professional Virtual Profile with up to ten additional pages.
5. You cannot attempt to contact and/or connect with any members/users of AmericaUKnight for soliciting purposes.  Members may come to you and request a connection.
6. You cannot post any ads on blogs, forums, or any other interactive areas of the site.
7. You understand your "market me" space is limited to your profile and the 10 additional pages.  Members can search professionals by services, professions, location and various keyword searches . 
   
8. You understand you cannot solicit or post ads to your profile (other than your own-specifically related to this profile).
   
9. You understand that the result of any misuse, abuse, attempted connections, or additional soliciting on the part of your profile, is the automatic suspension of your account/profile and the indefinite inability to obtain another profile.
   
10. This profile may not maintain a wall (not conducive for other members).

Small Business Guidelines:

1.  If you own a small business you must register as a small business.
   
2. You may enter a max of 2 Cities in (Service Area).  Recommend List "Main City" and Surrounding Areas.  Then list one other city.

4. You may maintain a Business Virtual Profile with up to ten additional pages.

7. You understand your "market me" space is limited to your profile and the 10 additional pages.  Members can search businesses by services, professions, location and various keyword searches . 
   
8. You understand you cannot solicit or post ads to your profile (other than your own-specifically related to this profile).
   
9. You understand that the result of any misuse, abuse, attempted connections, or additional soliciting on the part of your profile, is the automatic suspension of your account/profile and the indefinite inability to obtain another profile.
   
10. This profile may not maintain a wall (not conducive for other members).

Restaurant Guidelines:

1. No Fast Food or Bar establishments.
   
2. You may maintain a Restaurant Virtual Profile with up to ten additional pages.
3. You cannot attempt to contact and/or connect with any members/users of AmericaUKnight.
4. You cannot post any ads on blogs, forums, or any other interactive areas of the site.
5. You understand your ad space is limited to your profile.   
6. You will not have frontal access to members.
7. You understand you cannot solicit or post ads to your profile (other than your own-specifically related to this profile).  Your profile is limited to your restaurant related information.
8. You understand that the result of any misuse, abuse, attempted connections, or additional soliciting on the part of your restaurant, is the automatic suspension of your account/profile and the indefinite inability to obtain another profile.
   
9. The cost is $25.00 per month and you can cancel at anytime.  You understand that if you cancel or neglect to pay your monthly dues, your profile page will be suspended.
   
10. This profile may not maintain a wall (not conducive for other members).

 

1. You can maintain a News Agency Virtual Profile with up to ten additional pages.
2. You cannot attempt to contact and/or connect with any members/users of AmericaUKnight.
3. You cannot post any ads on blogs, forums, or any other interactive areas of the site.
4. You understand your news/ad space is limited to your profile. 
   
5. You will not have frontal access to members. 
6. You understand you cannot solicit or post ads to your profile (other than your own-specifically related to this profile).  
7. You understand that the result of any misuse, abuse, attempted connections, or additional soliciting on the part of your agency, is the automatic suspension of your account/profile and the indefinite inability to obtain another profile.
8. This profile may not maintain a wall (not conducive for other members).

HOA Guidelines:

1. You may maintain an HOA Virtual Profile with up to ten additional pages.
2. You cannot attempt to contact and/or connect with any members/users of AmericaUKnight for soliciting purposes.  Members may come to you and request a connection.
3. You cannot post any ads on blogs, forums, or any other interactive areas of the site.
4. You understand your "HOA" space is limited to your profile and the 10 additional pages.  Members can search HOAs by title, city, amenities, location, and various keyword searches . 
   
5. You understand you cannot solicit or post ads to your profile (other than your own-specifically related to this profile).
   
6. You understand that the result of any misuse, abuse, attempted connections, or additional soliciting on the part of your profile, is the automatic suspension of your account/profile and the indefinite inability to obtain another profile.
   
7. The cost is $25.00 per month and you can cancel at anytime.  You understand that if you cancel or neglect to pay your monthly dues, your profile page will be suspended.
8. This profile may not maintain a wall (not conducive for other members).

 

Violations of Terms-Fines:

1. Any abuse or misuse will result in automatic suspension and notification to the appropriate authoritative agency (if deemed necessary).
2. You agree to pay AmericaUKnight $1,000.00 for each posting or message impersonating an individual agency or your affiliation with an agency.
3. You agree to pay AmericaUKnight $5,000.00 if you post false information within the Missing Loved One Forum or Missing Blogs.  These blogs and forums are not to be abused (no hoaxes, pranks, practical jokes, frauds, tricks, or jokes). 
4. You agree to pay AmericaUKnight $5,000 if you provide any misleading tips to authorities or families of the missing.
5. Because each abuse/misuse issue is handled on a case by case basis, you understand that fines and the ultimate outcome of any abuse case reported is under the discretion of AmericaUKnight.
   

 

Career Center-Posting:

1. Only 1 post per specific job, per city (cannot have 8 posts with slightly different job titles).
2. No excessive city and/or state postings.  May only post a specific job in 3 cities.
3. No false post (subject to fine).
4. No ads (subject to fine-we can track marketers down by the ad).
5. If you violate these guidelines your account will be suspended and you cannot register for a new profile.

Online Store:

1. We have the right to refuse service (for any reason).  If we do so, the customer will receive a full refund.
   

Mobile:

We currently provide mobile service for free, but be aware that your carrier’s normal rates and fess will still apply.

 

Liability-Disputes:

1. AmericaUKnight reserves the rights to restrict, suspend, or terminate your access to all or any part of the Web Service, including interactive areas, features, databases, and content at any time for any reason without prior notice or liability.
2. AmericaUKnight, nor any successor or predecessor, warrants the accuracy, reliability, or timelines of any content on or accessible via our Service.  AmericaUKnight shall not be liable for any damage or loss caused by your reliance on the accuracy, reliability, or timelines of the content.
3. You agree that AmericaUKnight is not liable or responsible for any damages related to your use of our Services.
4. You agree to indemnify, defend and hold AmericaUKnight and it’s affiliates, and their respective officers, directors, agents, information providers and licensors harmless from and against any and all claims, liability, losses, costs and expenses (including attorney’s fees) incurred by any AmericaUKnight user name by any person, whether or not authorized by you.
5. You will resolve any claim, cause of action, and/or dispute you have arising out of or relating to this Statement or AmericaUKnight in a state or federal court located in Harris County.  The laws of the State of Texas will govern this Statement, as well as any claim that may arise between you and us, without regard to conflict of law provisions.  You agree to submit to the personal jurisdiction of the courts located in Harris County, Texas for the purpose of litigating all such claims.
6. If anyone brings a claim against us related to your actions, content or information on AmericaUKnight, you will indemnify and hold us harmless from and against all damages, losses, and expenses of any kind (including legal fees and cost) related to such claims.
7. We try to keep AmericaUKnight as Safe as possible and free of bugs and viruses.  However, you understand, you use AmericaUKnight at your own risk.  AmericaUKnight is provided "As is” without any express or implied warranties including but not limited to implied warranties of merchant ability, and non-infringement. 

 

Definitions:

1. By "AmericaUKnight” we mean features and services we make available.
2. By "us,” "we,” and "our” we mean AmericaUKnight our employees and stakeholders.
3. By "content” we mean anything you post on AmericaUKnight.
4. By  "You” we mean "Member,” and/or "User,” who has logged in within the past 30 days.

 

Copyright:

1. The Web Service contains information, graphics, photographs, audio, and video clips, links, logos and other material/content that are protected by copyright, trademark or other intellectual property rights of AmericaUKnight or third-party providers.
2. You may not modify, publish, transmit, transfer, sell, reproduce, display, or in any way exploit any of the content, in whole or in part, except as otherwise permitted in this Agreement.
3. You agree to comply with any additional copyright notices or restrictions contained in any content available on or accessed through AmericaUKnight.  Members of AmericaUKnight may use the content only for their personal, noncommercial use; members of AmericaUKnight who wish to utilize the content for commercial use must obtain prior express written permission.

 

Voluntary Use:

You agree you are able to discontinue use of our services if you are not satisfied and your use is completely voluntary.
